1. Introduction

This document is an electronic record in terms of the Information Technology Act, 2000 ("IT Act") and rules thereunder, and is published in accordance with the provisions of Rule 3 (1) of the Information Technology (Intermediaries Guidelines and Digital Media Ethics Code) Rules, 2021. These Terms and Conditions ("Terms" / "Agreement") govern your access to and use of the services, products, and platforms (collectively referred to as "Services") provided by Miraspark Technologies Private Limited ("Miraspark," "we," "us," or "our"), a company incorporated under the laws of India and established in 2024. By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must refrain from using our Services.

2. Definitions

For the purposes of this Agreement, the following terms shall have the meanings ascribed to them below:

• "Affiliate(s)" means any entity that directly or indirectly controls, is controlled by, or is under common control with Miraspark Technologies Private Limited.
• "Content" refers to all text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork, computer code, and other materials available on or through our Services.
• "User" or "You" means any individual or entity accessing or using our Services.
• "Services" refers to the decentralized blockchain-based nodes, decentralized IPFS, proof of identity solutions, and any other products or services offered by Miraspark.
• "Platform" means the website, mobile application, or any other digital interface through which Miraspark provides its Services.
• "Intellectual Property" includes patents, trademarks, copyrights, trade secrets, and any other proprietary rights associated with Miraspark's Services.

3. Acceptance of Terms

By accessing or using Miraspark's Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, including our Privacy Policy, Refund Policy, and any other guidelines or policies referenced herein. If you do not agree to these Terms, you must immediately cease using our Services.

4. Services Provided

Miraspark Technologies provides the following Services:

• Decentralized Blockchain-Based Nodes: A decentralized infrastructure that enables users to interact with blockchain networks.
• Decentralized IPFS: A distributed file storage system that allows users to store and share data securely.
• Proof of Identity Solutions: A decentralized identity verification system that ensures secure and private user authentication.

Miraspark reserves the right to modify, suspend, or discontinue any part of its Services at any time without prior notice.

5. User Responsibilities

As a User of Miraspark's Services, you agree to the following:

• Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• Accurate Information: You must provide accurate, complete, and up-to-date information during registration and while using our Services.
• Compliance with Laws: You agree to use our Services in compliance with all applicable laws, regulations, and these Terms.
• Prohibited Activities: You must not engage in any activity that disrupts or interferes with the functioning of our Services, including but not limited to hacking, spamming, or distributing malware.

6. Intellectual Property

All Content, trademarks, logos, and other intellectual property associated with Miraspark's Services are owned by or licensed to Miraspark. You are granted a limited, non-exclusive, non-transferable license to access and use our Services for personal or internal business purposes. You must not reproduce, distribute, modify, or create derivative works of any Content without prior written consent from Miraspark.

7. Payment and Refund Policy

• Refund Requests: Refund requests must be submitted within one (1) calendar day of purchase and are subject to Miraspark's refund eligibility criteria.
• Processing Time: Approved refunds will be processed within 5–7 working days and credited to the original payment method.
• Non-Refundable Products/Services: Certain products or services may be non-refundable. Please refer to the specific product/service description for details.

8. Limitation of Liability

Miraspark Technologies shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to your use of our Services. Our total liability, if any, shall be limited to the maximum extent permitted by law.

9. Changes to Terms

Miraspark reserves the right to modify these Terms at any time. We will notify Users of significant changes through our Platform or via email. Your continued use of our Services after such changes constitutes your acceptance of the revised Terms.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the courts located in India (Nanded, 431601, Maharashtra).

12. Disclaimer

Miraspark's Services are provided on an "as-is" and "as-available" basis. We make no warranties, express or implied, regarding the accuracy, reliability, or availability of our Services. To the maximum extent permitted by law, we disclaim all liability for any errors, omissions, or interruptions in our Services.

13. Indemnity

You agree to indemnify and hold harmless Miraspark, its affiliates, directors, officers, employees, and agents from any claims, damages, losses, or expenses arising out of your use of our Services or your breach of these Terms.

14. Termination

Miraspark reserves the right to suspend or terminate your access to our Services at any time, with or without cause, and without prior notice. Upon termination, your right to use our Services will immediately cease.

15. Miscellaneous

• Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
• Waiver: Failure by Miraspark to enforce any provision of these Terms shall not constitute a waiver of such provision.
• Entire Agreement: These Terms, along with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Miraspark regarding your use of our Services.
